Essential Elements of a Contract

Valid contracts must contain the three elements: offer, acceptance, and consideration (exchange of value). For instance, if you tell someone you would like to buy their bicycle for $450, you’ve made an offer. However, if they do not respond, there is no acceptance, and thus, no contract. See, contracts are easy! Notice, there is no mention of a written agreement, because oral contracts (for goods under $500) are enforceable. Of course, we could take a deep dive into the nuances of contract law, but the main point is to make sure that the elements of a valid contract are met to have an enforceable contract.

Independent Contractors

If you are hiring an independent contractor or being hired as one, there are certain terms and provisions that create a solid understanding. The scope of services should be well defined so there are no assumptions about what is expected. Milestones, deadlines, and deliverables should be clearly articulated to eliminate ambiguities.

Asset Purchase/Sale Agreement

Buyers and sellers often transact for intellectual property, physical assets, entire companies, real estate, and any other asset of value. It is important to have clarity on both sides of the transaction to keep the parties on the same timeline and expectations.

Software Agreements

Building websites, mobile applications, selling or licensing your software? Regulatory requirements mandate you provide users the ability to understand what data you are collecting, how you are securing the data, and what you are doing with the data.

Contracts FAQ

I found a template online, why hire an attorney?
  • These are great resources to educate yourself on common provisions and understanding what to look for, but it is unlikely to address your specific circumstances.
  • We will help you draft contracts that pertain to your business and meet your needs. Contract law varies per jurisdiction, so it is vital to draft provisions that will be upheld in your state.
  • Sometimes, peace of mind is better than cutting corners.
Can I use the same contract for all of my clients?
  • We create templates so our clients can use them for similar transactions. However, because every transaction has different elements, we always recommend chatting with one of our attorneys before executing the contract. Luckily, we offer affordable subscription services so that this option is available without having to provide a huge upfront retainer.
  • We also include comments on the contract provisions to help you understand variations and potential areas that might change depending on the business terms of the deal.
What does the contract drafting process look like?
  • We will ask you a series of questions that pertain to your matter so we can paint a better picture of your business needs. After you respond and we conduct a review, we’ll have a conversation to dive deeper into your answers and see what other gaps need to be addressed.
  • After this consultation, a draft of the agreement will be delivered for your review and we provide two free revisions based on your feedback.
How much is a contract review?

We typically charge per page, and it is discounted based on your membership status.

How long is the contract review or drafting process?
  • It depends on your situation, your own timeline, and budget. We have expedited service fees that can turn around contracts very quickly. Our ongoing clients typically can avoid these expedited fees because we’re consistently updated, so we can plan accordingly. Indeed, a 75-page lease agreement will take more time than a 2-page NDA.
How do I know what business terms to negotiate?
  • It depends on your business model, use case, and ultimate goal for getting a deal done. We’ll help you with the negotiation process and help you communicate your needs to the other party. We’ve negotiated deals for new companies and large corporations, and it depends on leverage, positioning, timing, and your overall business goals. Don’t feel intimated by the other company having an attorney, we can communicate on your behalf to ensure your business goals are achieved.
