Wilborne Law, P.L.L.C., (“Wilborne Law”). Wilborne Law is referred to as us, we, our, or any similar term. We grant you a non-exclusive, revocable, non-transferable, limited license to access and use this Site solely for your personal use according to these Terms and Conditions. State Laws Vary
Wilborne Law lawyers are licensed to practice law in Florida but we affiliate or form relationships with lawyers throughout the United States. Wilborne Law may refer prospective clients to other law firms located throughout the country, who form relationships with Wilborne Law, and are experienced in handling your issue. Wilborne Law may also undertake legal representation in certain cases, and will affiliate with other legal counsel located throughout the country to provide legal representation. The laws of each State are different. This Site contains information about general or common rules that apply in some states.
Wilborne Law Clients
Only individuals who have entered into a mutually signed Engagement Letter and Fee Schedule with Wilborne Law are Wilborne Law clients (“Wilborne Law Clients”). Certain portions of this Site may be available for use only by Wilborne Law Clients. When Wilborne Law Clients use such portions of this Site we will ensure that any information provided pursuant to such attorney/client relationship may not be shared with third parties to preserve the confidentiality of the relevant information and any attorney/client privilege that may attach to that information. Wilborne Law takes commercially reasonable measures to secure, encrypt, and protect the information that we collect.
Legal and Ethical Requirements
Wilborne Law has tried to comply with all legal and ethical requirements in compiling this Site. To ensure that consumers’ inquiries are handled accurately, courteously, and promptly, phone calls between you and Wilborne Law or any of our representatives, clerks, case managers, paralegals, and/or attorneys may be recorded. We may from time to time make calls and/or send text messages to you at any telephone number associated with your account. These calls or text (SMS) messages may include, but not limited to, the use of prerecorded/artificial voice messages and/or an automatic telephone dialing system. You certify, warrant, and represent that the telephone numbers you have provided to us are your contact numbers. You represent that you are permitted to receive calls at each and all telephone numbers you provide. You agree that Wilborne Law may send emails to you at any email address you provide or use other electronic means of communication to the extent permitted by law.
Governing Laws in Case of Dispute; Jurisdiction
These Terms and Conditions shall be governed by Florida law, without regard to any choice of law principles. Any and all disputes shall be governed by the Arbitration section below.
Arbitration
Any and all claims by you arising out of or related to this Site or your use may be resolved only through a binding arbitration proceeding to be conducted under the auspices of the Commercial Arbitration Rules of the American Arbitration Association in Miami-Dade County, Florida. Both your agreement to arbitrate all controversies, disputes and claims, and the results and awards rendered through the arbitration, will be final and binding on you and may be specifically enforced by legal proceedings. Arbitration will be the sole means of resolving any controversy, dispute and/or claim, and you waive your rights to resolve any controversy, dispute and claims by court proceedings or any other means. You agree that judgment may be entered on the award in any court of competent jurisdiction and, therefore, any award rendered shall be binding. The arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. You understand that by agreeing to arbitration as a mechanism to resolve all controversies, disputes and claims between us, you are waiving certain rights, including the right to sue in court, the right to a jury trial, the right to broad discovery, and the right to an appeal. You understand that in the context of arbitration, a case is decided by an arbitrator, or multiple arbitrators, not by a judge or a jury.
Submissions
You are solely responsible for any information, content, or material you transmit to or through this Site (“Submissions”). You understand that Submissions are considered non-confidential and non-proprietary. Further, you grant Wilborne Law an unrestricted, irrevocable, perpetual, transferable, sublicensable, worldwide, royalty-free license to use, copy, reproduce, display, publish, publicly perform, transmit, and distribute any Submission, without compensation or accounting to you or anyone else. You represent and warrant that: (a) you have the right to submit the Submission to Wilborne Law and grant the licenses as described above; (b) Wilborne Law will not need to obtain licenses from any third party or pay royalties to any third party for its use of the Submission; (c) the Submission does not infringe any third party’s rights, including intellectual property and privacy rights; and (d) the Submission complies with these Terms and Conditions and all applicable laws and regulations.
Wilborne Law takes no responsibility and assumes no liability for any Submissions.
Indemnification
You agree to indemnify, defend and hold harmless Wilborne Law and its members, representatives, clerks, case managers, paralegals, and/or attorneys agents and the assigns of the same, from and against any and all loss, costs, expenses (including reasonable attorneys’ fees and expenses), claims, damages and liabilities related to or associated with your use of this Site and any violation of these Terms and Conditions by you.
Severability
If our Terms and Conditions, Privacy Policy, or any portion is unenforceable, the provision shall be enforced to the maximum extent permissible to fulfill its purpose, and the remainder of these Terms and Conditions and Privacy Policy shall continue in full force and effect. Wilborne Law’s failure to act on a breach by you or others does not waive our right to act with respect to that breach or subsequent or similar breaches.
Merger and Integration
No consent or waiver by Wilborne Law will be deemed effective unless in writing. These Terms and Conditions, together with our Privacy Policy, as each in its most updated form, constitute the entire agreement between Wilborne Law and you with respect to your use of this Site and supersede all previous written or oral agreements relating to the subject matter hereof, except that this agreement shall not supersede, restrict, or replace any agreements governing the attorney-client relationship between Wilborne Law and Wilborne Law Clients.
Wilborne Law without prior notice and by its own judgement, block and/or terminate your access to this Site and if we find you have violated any Terms and Conditions or other terms or agreements or that may be associated with you using this Site that is unacceptable; unacceptable is determined by Wilborne Law.
